1. Introduction and Acceptance of Terms
Akiya CRM (hereinafter referred to as "the Platform," "we," "us," or "our")
is a customer relationship management platform owned and operated by LabratsAI,
a legally recognized entity. These Terms and Conditions constitute a legally
binding agreement between you, the user (including but not limited to
salespersons, supervisors, managers, and any other individual who accesses or
uses the Platform), and LabratsAI.
By registering for, accessing, browsing, or using any part of the Akiya CRM
Platform, you acknowledge that you have read, understood, and agree to be
bound by these Terms. If you do not agree with any part of these Terms, you
must not use the Platform.
2. Account Ownership and User Responsibilities
2.1 Individual Account Ownership
Each account created on Akiya CRM is owned by the individual user who
registers for the account. Regardless of employment status, organizational
affiliation, or any relationship with a third party, the account remains
personal to the user and is not transferable without the express written
consent of LabratsAI.
2.2 Account Security
Users are solely responsible for maintaining the confidentiality and security
of their account credentials, including passwords, email addresses, and any
authentication information. Users accept full responsibility for all actions
performed under their accounts and agree to notify LabratsAI immediately in
the event of unauthorized access or security breaches.
2.3 Ownership of Performance Data
All performance data generated or associated with a user account, including
sales metrics, activity logs, rankings, and achievement records, remains the
property of the individual user and is not automatically transferred to any
employer, organization, or third party without consent, except where required
by applicable law.
3. Subscription, Fees, and Payments
3.1 Subscription Model
Access to Akiya CRM is provided on a subscription basis. By subscribing,
users agree to pay all applicable recurring fees associated with their chosen
subscription plan unless cancelled before the renewal date.
3.2 Price Modifications
LabratsAI reserves the right to modify pricing, subscription fees, or paid
feature costs at any time. Reasonable notice will be provided before changes
become effective.
3.3 Non-Payment and Suspension
Failure to complete payment may result in suspension or termination of access
to the Platform and associated features or stored data. Outstanding payment
obligations remain enforceable even after suspension.
4. Data Ownership, Portability, and Retention
4.1 User-Owned Content
Users retain full ownership of all information, content, and business data
uploaded or entered into the Platform, including leads, contact details,
notes, custom fields, and related business records.
4.2 Data Independence from Employment
User Data is linked to the individual account owner and not automatically to
an employer or organization. If a user leaves an organization, the data
remains tied to the user's account unless separate contractual agreements
specify otherwise.
5. Badge and Performance Recognition System
5.1 Awarding of Badges
Akiya CRM may provide badges, rankings, or achievement systems to recognize
user performance and milestones. Badge criteria may be updated or modified at
the sole discretion of LabratsAI.
5.2 Removal of Badges
LabratsAI reserves the right to revoke or remove badges due to inactivity,
policy violations, fraudulent behavior, or changes to recognition programs.
5.3 Paid Badge Features
Certain advanced recognition tools, premium badges, or accelerated achievement
systems may become paid features in the future.
6. Future Features, Competitions, and Additional Tools
6.1 Platform Evolution
LabratsAI reserves the right to introduce new features, tools, integrations,
competitions, training modules, marketplaces, or third-party services without
prior notice.
6.2 Paid Access to New Features
Some future tools, competitions, premium features, or advanced services may
require additional subscription plans or separate payments.
7. Acceptable Use and Prohibited Conduct
Users agree not to engage in prohibited activities including:

Falsification of leads, sales data, customer records, or performance
metrics.

Fraudulent, deceptive, or misleading use of the Platform.

Attempts to bypass platform security, restrictions, or authentication
systems.

Use of automated bots, scrapers, or scripts to manipulate platform
behavior or extract unauthorized data.

Unauthorized access to another user's account or information.
Violations may result in immediate account suspension, termination, loss of
platform access, and possible legal action.
8. Limitation of Liability and Disclaimer of Warranties
8.1 No Warranties
The Platform is provided on an "as is" and "as available" basis without any
warranties of uninterrupted service, accuracy, security, or fitness for a
particular purpose.
8.2 Limitation of Liability
LabratsAI, including its owners, affiliates, employees, and partners, shall
not be liable for indirect, incidental, consequential, or special damages,
including loss of data, revenue, profits, or business opportunities arising
from use of the Platform.
8.3 Business Outcomes
LabratsAI does not guarantee business growth, sales performance, marketing
success, or any commercial outcomes resulting from use of the Platform.
9. Governing Law and Dispute Resolution
These Terms shall be governed and interpreted in accordance with the laws of
the Federal Democratic Republic of Ethiopia. Any disputes arising from the use
of the Platform shall fall under the exclusive jurisdiction of Ethiopian
courts.
10. Role-Based Data Privacy (Sales, Supervisors, Managers)
AKIYA CRM supports multiple organizational roles including salespersons,
supervisors, and managers. This section explains how role-based data privacy,
ownership, visibility, and access control are managed in accordance with the
Personal Data Protection Proclamation No. 1321/2024.
10.1 Individual Data Ownership Principle
All data entered into the Platform is owned by the individual user account
that created it. This includes leads, contact information, notes,
follow-ups, activity logs, and performance metrics. Supervisors and managers
do not automatically own subordinate user data.
10.2 Data Access Within Organizations
Supervisors and managers may access user performance information, leads, and
activity records only where permission has been granted or role-based
visibility settings allow such access. Access does not grant ownership rights
over user data.
10.3 Salesperson Data Rights
Salespersons retain the right to access, manage, edit, and delete their own
data and may retain ownership of their records even after leaving an
organization unless separate agreements state otherwise.
10.4 Supervisor & Manager Responsibilities
Supervisors and managers must use accessible data solely for legitimate
operational purposes while maintaining user privacy and confidentiality.
Unauthorized extraction, misuse, or manipulation of data is strictly
prohibited.
10.5 Organization-Level Data Agreements
AKIYA CRM does not automatically transfer employee data ownership to
organizations. Any organization requiring ownership, retention, or extended
access to employee-generated data must establish separate agreements with the
affected users.
10.6 Data Visibility Settings
The Platform may provide configurable role-based access controls, including
hierarchical visibility structures, team-based dashboards, shared lead access,
and restricted data permissions depending on organizational configuration.
10.7 Data Transfer Between Roles
Data sharing between salespersons, supervisors, and managers is permitted
only within authorized workflows and approved system permissions. Unauthorized
external transfer of data is prohibited.
10.8 Account Termination & Data Retention
If a user leaves an organization, their data remains associated with their
personal account unless retention is legally required or governed by a
separate agreement.
